NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING AND THE ODDS OF WINNING DEPEND ON THE TOTAL NUMBER OF ELIGIBLE ENTRIES RECEIVED.

This Sweepstakes is sponsored by Talarya Brands LLC (“Sponsor”, “we”, “our” or “us”) and administered by Lucid Green, Inc. (the “Administrator”). By entering, participating or accepting a prize or award, each entrant (“you”, “your”) unconditionally agrees to be bound by and accepts these Official Rules as a legally enforceable contract. WHO IS ELIGIBLE: The Sweepstakes is open only to individuals who are registered members of our Loyalty Rewards Program (“loyalty program”), are at least 21 years of age and who are legal residents of the State of California in the United States. Neither any officers, directors, employees, managers or owners of the Sponsor or the Administrator, nor any parent, subsidiary or affiliated company, as well as any of their respective advertising and promotional agencies, suppliers, contractors, vendors and licensees, nor any immediate family members (spouse, parents, siblings and children) or individuals residing in the same household as any these individuals (individually and/or collectively, the “Sponsor Entities”) are eligible to enter or participate in the Sweepstakes or to win or be awarded a prize.

ENTRY PERIOD & DEADLINE: The Sweepstakes begins on September 29, 2023 at 12:01:00 a.m. U.S. Eastern Time (“ET”) and ends at 11:59:59 p.m. ET, on December 21, 2023 (the “entry period”) and your entry must be received by us before the end of the entry period in order to be entered and eligible to win. Proof of your submission of an entry will not be deemed to be proof of receipt by us within the entry period and we are not responsible for lost, late, incomplete, invalid, unintelligible or misdirected entries, which will be disqualified. The date and time of our actual receipt of your entry, as recorded by our systems, is the sole and exclusive mechanism by which your entry will be considered received or not received within the entry period.

HOW TO ENTER: No purchase is necessary to enter or win.

Points Entry Method: You must be registered as a member of our loyalty program to enter and be eligible to win a prize. If you are not already a member, you can register to become a member at no cost and with no obligation, by downloading the LucidID app (the “app”) on your mobile device in Apple store or Google Play, and entering the information necessary to properly complete your registration. When you purchase any Talarya branded product with a LucidID QR code (each, a “qualifying product”) and you leave the retail establishment with your qualifying product, the LucidID QR code (the “code”) will be activated. Prior to the end of the entry period, scan the code into your mobile device that has the app enabled. By doing so, the app will automatically open a brand wallet feature that allows you to collect points on each purchase of a qualifying product. The number of points depends on the qualifying product you purchase, but you can only obtain points once for each qualifying product no matter how many times you try to scan the code. You can then redeem the points for an entry in the sweepstakes. By redeeming the required number of points (required number of points for entry is 15 points), you will automatically be entered in the Sweepstakes if you purchase and then scan that QR code with your mobile device.

No Points Required Entry Methods: As alternate methods of entry without making a purchase or redeeming any points, eligible individuals can hand print your name, address, a phone number and/or email address where we can contact you, on a postcard or 3x5 index card and mail it to us at Talarya Loyalty Contest, 1808 Container Circle Jurupa Valley, Ca 92509, Attention: Entry: Talarya Autumn Loyalty Sweepstakes. No other methods of entry are or will be accepted.

There is no limit to the number of entries you may submit and each entry will be deemed made by the identifiable owner of the email, mobile phone or other account applicable to the submission of the entry, at the time the entry is submitted. In the event of a dispute, entrant may be required to provide proof that he or she is the owner or authorized holder of the identified account. Personally identifiable information that is submitted by entrants as part of this Sweepstakes will be used to administer the Sweepstakes, select prize winners and award prizes and will also be subject to, used and treated in accordance with our privacy policy accessible at https://www.talaryabrands.com/privacy-policy.

You may not, however, use any automated, mechanical or technological means of submitting entries and if you do, or we have a reasonable basis to believe you may be doing or have done so, we have the right, in our sole discretion and determination, to disqualify all of your entries and you will forfeit any right to participate or win a prize in the Sweepstakes.

PRIZES & DRAWINGS:

Grand Prize: There will be one (1) winner awarded the Grand Prize. The Grand Prize is a vacation for the Grand Prize Winner and one (1) travel companion which includes round trip coach economy airfare from the major airport nearest to the Grand Prize Winner’s legal residence to Phuket, Thailand, for the Grand Prize Winner and one individual chosen by the Grand Prize Winner, who also must be at least 21 years of age on or before December 21, 2023 (and notified to us as described below) who will accompany the Grand Prize Winner (the “Grand Prize Winner’s travel companion”). If there is more than one major airport near the Grand Prize Winner’s legal residence, the Grand Prize Winner will be asked to select her or his preferred airport from a list of major airports provided by our designated travel agency.

Drawing for the Grand Prize will take place on or about December 22, 2023 and will be conducted by the Sponsor.

The Grand Prize includes airport-hotel-airport transfers on the day of arrival and departure at the vacation destination, one double occupancy hotel room for six (6) nights in a 4 or 5 star hotel selected by our travel agency based on availability on the selected dates. Hotel accommodations include only the daily room charge, taxes and any standard resort or other fees imposed on all guests at the hotel and the prize does not include any other charges, whether for meals, incidentals, room service at the hotel or any other costs or expenses not explicitly stated, which are the sole responsibility of the Grand Prize Winner and/or Grand Prize Winner’s travel companion.

All travel must be arranged by the Grand Prize winner using our designated travel agency and all travel arrangements must be reserved, finalized and confirmed on or before March 31, 2024 and travel completed by July 31, 2024 or the entire Grand Prize will be forfeit. The Grand Prize Winner and the Grand Prize Winner’s travel companion must be ticketed together and travel on the same itinerary.

The approximate retail value of the Grand Prize is US$7,000 and we reserve the right to substitute the Grand Prize for a prize award of equal or greater value. Taxes, fees, meals and all other costs and expenses associated with the acceptance, receipt and use of all or any portion of the Grand Prize not expressly specified in these Official Rules are the sole responsibility of the Grand Prize Winner and the Grand Prize Winner’s travel companion.

If the potential Grand Prize winner or the Grand Prize Winner’s travel companion fails to complete, sign and return the required documentation, within the required time period, that potential Grand Prize Winner will be disqualified and declared ineligible and (a) if the Grand Prize Winner is disqualified, the Administrator will select and contact the next alternate potential Grand Prize Winner and/or (b) if a Grand Prize Winner’s travel companion is disqualified, the Grand Prize Winner will be required to select and notify the Sweepstakes Administrator of an alternate travel companion within thirty (30) days. If the required documentation is returned as required, confirmed and authenticated by the Sweepstakes Administrator, the Grand Prize will be awarded.

It is the responsibility of the Grand Prize Winner and the Grand Prize Winner’s travel companion to arrive at the airport in time for their flights to and from the applicable airports, in each case with proper travel documentation, including, without limitation, passports, visas, if required, and any other requirements of the government of the United States and Thailand applicable to the travel described, which is solely their responsibility, and must comply with all governmental, airport and airline requirements applicable to the flights. Certain travel, security and health related conditions and restrictions may apply to travel generally and to the Grand Prize winner and the Grand Prize Winner’s travel companion specifically, and it is the responsibility of the Grand Prize Winner and the Grand Prize Winner’s travel companion to comply with all travel, security, healthy and other laws, regulations, airline passenger and hotel rules that may apply to them. We are not and shall not be responsible if the Grand Prize Winner or the Grand Prize Winner’s travel companion is or are unable to accept or use all or any portion of the Grand Prize due to any failure of the Grand Prize Winner or the Grand Prize Winner’s travel companion to qualify or comply with these Official Rules or any law, regulation or other rules or requirements that apply to acceptance, receipt or use of the Grand Prize award.

Airline schedules, travel arrangements and other aspects of the Grand Prize are subject to change outside our control. We will not be liable or responsible for any such changes. If the Grand Prize Winner and/or any or all of the Grand Prize Winner’s travel companions is or are not available or fail to arrive at the required time or times, fail to have proper and complete documentation for all or any portion of the travel associated with the Grand Prize award, fail to comply with any applicable restrictions, requirements or rules, or fail to comply with these Official Rules in any way, the Grand Prize Winner and the Grand Prize Winner’s travel companions may be disqualified and the Grand Prize forfeit. Except for our right to substitute a prize of equivalent or greater value, the Grand Prize may not be transferred, substituted or exchanged, nor cash equivalent allowed.

All prize drawings will be conducted by the Administrator.

Second Prizes: Drawings for each of the second prizes will take place on or about November 17, 2023. 

The prizes are:

● One (1) COTC Louis Vuitton rolling duffle ($2950) with or without a COTC patch. Approximate Retail Value: US$2,950;  

●One (1) voucher, airline credit or gift card of US$1000 good for use within one (1) year on either Delta Airlines, United Airlines or Southwest Airlines. Approximate Retail Value: US$1,000;

Third Prizes: Drawings for each of the third prizes will take place on or about October 27, 2023

The prizes are:

● One (1) COTC/WCTC prize pack, including a COTC bong, swag, products. Approximate Retail Value: US$250;

● One (1) “Crop Council” Sesh: A special invite to a Crop Council sesh, where we try our new strains and make final COTC cuts for the new drops. Includes sesh with Crop execs/cultivator, product, and swag. Although the prize winner is responsible for any travel or other arrangements that may be necessary to claim this prize, if possible we will try to arrange a video-conference or other ‘virtual’ means of allowing the winner to participate in those aspects of the prize that don’t require a physical presence. Approximate Retail Value: US$165;

● Three (3) winners will each receive a US$100 Southwest Airlines gift card. Approximate Retail Value: US$300.

The approximate aggregate retail value of all the prizes to be awarded in this Sweepstakes is ELEVEN THOUSAND SEVEN HUNDRED DOLLARS (US$11,700) and we reserve the right to substitute any prize for a prize award of equal or greater value. Except for our right to substitute a prize of equivalent or greater value, no prizes may be transferred, substituted or exchanged, nor cash equivalent allowed.

WINNER SELECTION & NOTIFICATION:

For each drawing, the Sweepstakes Administrator will select the potential prize winner(s) at random from the eligible entries received during the entry period and attempt to notify each potential prize winner using the contact information provided in connection with the individual’s entry, which may be the information provided by registered loyalty program member in the app. If any initially selected potential prize winner cannot be notified within 5 days after the drawing or receives the notice but fails to respond to the Sweepstakes Administrator or provide the information and documentation required by these Official Rules within 7 days of being notified, or in the event of non-compliance with any of these Official Rules at any time, that potential prize winner will forfeit receiving any prize, and an alternate potential prize winner will be selected at random from the remaining eligible entries received. Being declared a prize winner and being awarded a prize is contingent upon your compliance with and fulfilling all Sweepstakes rules and requirements and we may disqualify you if you fail to do so. In order to claim a prize, a prize winner will be asked to sign and return an Affidavit of Eligibility & Liability Release Form (the “Release”). In addition, within 10 days after being notified of being selected as a potential winner, you will be required to sign and return a Affidavit of Eligibility & Liability Release Form (“Liability Release”) to us and unless prohibited by law or regulation, will also be asked to sign and return a Publicity Release. The Grand Prize Winner’s travel companion will also be asked to sign and return all applicable releases to be allowed to accompany the Grand Prize Winner and, unless prohibited by law or regulation, to also sign and return a Publicity Release. For ease of reference, we will use the term “Release” to refer to both the Liability Release and Publicity Release, as applicable. All required Release forms must be signed and returned within seven (7) days of receipt.

If a potential prize winner returns the required documentation properly completed and signed and has complied with the Official Rules, as verified by the Administrator, the potential prize winner will be declared a winner and the applicable prize awarded. If a potential prize winner fails to properly complete, sign and return the required documentation within the required time period or fails to comply with these Official Rules in any respect, they will be disqualified and declared ineligible and the Administrator will select and contact the next alternate potential prize winner as described above.

All taxes and/or other costs and expenses associated with the acceptance, receipt and use of all or any portion of any prize that is not expressly specified in these Official Rules are the sole responsibility of the winner. If the value of the prize you are awarded and receive is $600 or more, we are required to issue an IRS Form 1099-MISC to you, sending a copy to the IRS, in an amount equal to the fair market value of the prize you received, inclusive of sales or other transaction taxes that would otherwise apply. We cannot be, are not and will not be responsible if the winner of any prize is unable to accept or use all or any portion of the prize, due to any failure to qualify or comply with these Official Rules or restrictions imposed by law, regulation or other rules or requirements that apply to a winner or prospective winner’s acceptance, receipt or use of any prize award. If a prize winner fails to comply with any applicable restrictions, requirements or rules, or fails to comply with these Official Rules in any way, the prize winner may be disqualified and will forfeit any prize award. Our decisions and, if applicable, the decisions of the Administrator, in all respects applicable to the Sweepstakes, including, without limitation, eligibility of entrants, entries, selection of potential prize winners, compliance with these Official Rules and the award of prizes, are and will be final and binding in all respects.

INFORMATION YOU SEND US

When you enter your name, email address, phone number or other information on our Website, ask us to contact you, or you request information using our Website, you understand, acknowledge and agree that by doing so you are requesting us and giving us your permission and explicit consent to allow us to use your personal information for purposes related to the administration, operation and communication applicable to the Sweepstakes. We may also use information you make available in your entry or we otherwise may obtain from you in connection with your entry, participation and any prize award you receive, for other purposes, subject to the terms and conditions of our privacy policy found at https://www.talaryabrands.com/privacy-policy.

You will always be given the ability to opt out of receiving future unsolicited marketing emails by using an unsubscribe link at the bottom of any emails we send you.

DISCLAIMER & RELEASE: By entering and participating in the Sweepstakes, each entrant: (i) assumes responsibility for all risks and liability for any damages, losses or injury sustained, incurred, caused or claimed to be caused as a result of participation in the Sweepstakes and/or the acceptance, awarding, receipt, use and/or misuse of any prize; and (ii) releases and agrees to indemnify and hold the Sponsor Entities harmless from and against any and all losses, damages, liability, costs and expenses based on any demand, claim or cause of action associated with and/or arising out of participating in the Sweepstakes and/or the acceptance, awarding, receipt, benefit from and/or use (or misuse) of all or any portion of the prize, including, but not limited to, claims based on rights of privacy and/or publicity.

Each prize winner, prior to being awarded a prize (or portion, if applicable) must deliver to us a fully completed and properly executed Release prior to being entitled to the award of all or any portion of any prize. If applicable, the Publicity Release will grant us permission to use and publish, among other things, your name, photograph, State of residency and other information described in the Publicity Release, for promotional and publicity purposes, without further compensation or consideration. The Publicity Release will permit us to arrange to publicize the award of a prize and will explicitly consent and grant permission to us to permit and authorize any public relations firm, advertising agency, news or other information gathering agency or institution to be present, observe, make a record of and use and publish the award of a prize.

DISPUTES: The interpretation and validity, all issues involving or related to these Official Rules and this Sweepstakes, including, without limitation, the rights and obligations of the parties, shall be construed, enforced and governed exclusively by the substantive laws of the State of California, without reference to any conflict of laws principles that might result in the application of the laws of any other jurisdiction. By entering, participating or accepting a prize, each entrant is agreeing that: (1) all our decisions and determinations and, if applicable, those of the Administrator, are final and binding for all purposes relating to or associated with the Sweepstakes; (2) any and all disputes, claims, controversies and causes of action arising out of or connected with this Sweepstakes, shall be resolved with you individually, without resort to any form of class action, and exclusively by the Federal or State Courts located in the State of California; (2) any and all claims, judgments and awards to you shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes not to exceed $100, but in no event attorneys’ fees; and (3) under no circumstances will you or anyone claiming under or through you, be permitted to seek, claim or obtain a judgment awarding, and you hereby waive all rights to claim, any indirect, incidental, consequential, punitive, special, exemplary and/or any other damages, regardless of the form of action or basis of the claim and whether or not foreseeable and regardless of whether a party has been notified of the possibility of such damages.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

GENERAL: We may disqualify you if you fail to comply with these Official Rules or if we believe you have been or are tampering, interfering with or disrupting any entries, the conduct or the operation of the Sweepstakes. If any of your activities are or may be in violation of criminal and/or civil law, we reserve the right to seek damages to the fullest extent permitted by law and, in our sole determination and discretion, we may provide information to appropriate government and law enforcement authorities. We reserve the right to withdraw, discontinue, cancel, terminate, suspend or modify the Sweepstakes for any reason, including, without limitation, fraud, misconduct, technical problems, human error or causes beyond our control that interfere with the administration, integrity, security or operation of the Sweepstakes, as determined by us in our sole discretion. If we terminate the Sweepstakes before the end of the entry period, we have the right, but not an obligation, to choose one or more prize winners from the eligible entries received prior to termination. We are not responsible for typographical or other errors in the administration of the Sweepstakes or award of any prize. If we delay or fail to enforce our rights that doesn’t mean we waive them.

PRIZE WINNERS: After all prizes in this Sweepstakes are awarded and continuing for a period of at least 6 months thereafter, you may obtain a list of the prize winners by sending your request along with a proper postage prepaid/stamped, self-addressed envelope to:
